1. Acceptance of Terms

Welcome to StashKit. By accessing or using our QR code generation services, website, tools, and applications (collectively, the 'Service'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you are strictly prohibited from using the Service and must cease all use immediately.

The Service is operated by StashKit ('Company', 'we', 'us', or 'our'), with a principal office located at 30 N Gould St Ste R, Sheridan, WY 82801, USA.

2. Description of Service

StashKit provides users with tools to generate, customize, manage, and track Quick Response (QR) codes (the 'QR Codes'). We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, without notice and without liability to you or any third party.

3. Absolute Disclaimer of Warranties

THE SERVICE, INCLUDING ALL GENERATED QR CODES, SOFTWARE, AND RELATED CONTENT, IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO the MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STASHKIT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;

  • ANY WARRANTY THAT THE SERVICE OR GENERATED QR CODES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS;

  • ANY WARRANTY AS TO THE ACCURACY, RELIABILITY, PERMANENCE, OR SCANABILITY OF THE GENERATED QR CODES;

  • ANY WARRANTY THAT THE QR CODES WILL REMAIN FUNCTIONAL INDEFINITELY OR THAT THE DESTINATION URLS ASSOCIATED WITH DYNAMIC QR CODES WILL RESOLVE CORRECTLY.

YOU ACKNOWLEDGE AND AGREE THAT YOU USE THE SERVICE AND ANY GENERATED QR CODES ENTIRELY AT YOUR OWN RISK. STASHKIT IS NOT RESPONSIBLE FOR ANY LOSSES ARISING FROM DEFECTIVE, UNSCANABLE, OR EXPIRED QR CODES, INCLUDING BUT NOT LIMITED TO LOSSES INVOLVING PRINTED MARKETING MATERIALS, PRODUCT PACKAGING, OR ADVERTISING CAMPAIGNS.

4. Complete Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STASHKIT, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER.

THIS LIMITATION APPLIES TO, WITHOUT LIMITATION, DAMAGES FOR:

  • LOSS OF PROFITS, REVENUE, OR DATA;

  • LOSS OF BUSINESS, GOODWILL, OR REPUTATION;

  • BUSINESS INTERRUPTION;

  • THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;

  • ANY PRINTING, MANUFACTURING, OR DISTRIBUTION COSTS INCURRED DUE TO MALFUNCTIONING OR INCORRECT QR CODES;

  • ANY DIRECT OR INDIRECT DAMAGES RESULTING FROM USER ERROR, MALICIOUS RE-DIRECTION, OR THE EXPLOITATION OF GENERATED QR CODES BY THIRD PARTIES.

UNDER NO CIRCUMSTANCES SHALL STASHKIT'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO STASHKIT FOR THE SPECIFIC SERVICE GIVING RISE TO THE LIABILITY DURING THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY, OR FIFTY U.S. DOLLARS ($50.00), WHICHEVER IS LESS. THIS LIMITATION OF LIABILITY IS CUMULATIVE AND NOT PER-INCIDENT.

5. Indemnification

You agree to defend, indemnify, and hold harmless StashKit, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service;

  • Your violation of any term of these Terms;

  • The content, destination, or payload embedded within or linked to by any QR Code you generate;

  • Your violation of any third-party right, including without limitation any copyright, trademark, property, or privacy right.

6. User Conduct and Prohibited Content

You are solely responsible for the content and destination URLs of the QR Codes you generate. You agree not to use the Service to generate QR Codes that link to, contain, or promote:

  • Illegal activities, illegal substances, or dangerous goods;

  • Phishing, malware, spyware, viruses, or other malicious code;

  • Hate speech, harassment, defamation, or obscene content;

  • Intellectual property infringement of any third party.

We reserve the right, but assume no obligation, to monitor, review, disable, or delete any QR Codes or user accounts that we determine, in our sole discretion, violate these Terms or are otherwise harmful to our platform or users.

7. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the federal or state courts located in Sheridan, Wyoming, USA.

8. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms shall remain in full force and effect. These Terms constitute the entire agreement between you and StashKit regarding the use of the Service.
